Acceptance of These Terms

These Terms of Use (the “Terms”) govern your access to and use of theledgerarc.com and its related pages (the “Site”), operated by LedgerArc (“LedgerArc,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you use the Site on behalf of an organization, you represent that you are authorized to accept these Terms for that organization. If you do not agree, do not use the Site.

Who May Use the Site

The Site is intended for businesses, government organizations, and individuals acting in a professional capacity. You must be at least 18 years old to use the Site or to submit information through it.

No Legal or Professional Advice

Content on the Site is provided for general information about LedgerArc and its services. It is not legal, tax, accounting, financial, or other professional advice, and you should not rely on it as such for any specific situation.

LedgerArc is a strategic operations and governance advisory firm. It is not a law firm, does not practice law, and does not provide legal advice or legal services. For advice about your specific circumstances, consult a licensed attorney or other qualified professional.

No Client or Advisory Relationship

Using the Site, submitting the contact form, or corresponding with LedgerArc does not create a client, advisory, consulting, fiduciary, or other professional relationship. An engagement begins only when LedgerArc and the client sign a written agreement.

If you have a signed agreement with LedgerArc, that agreement governs the services, and these Terms do not change it.

Information You Send Us

Do not send confidential, proprietary, or sensitive information through the Site. This includes protected health information, financial account numbers, government identification numbers, and trade secrets.

Unless we have agreed otherwise in writing, information you submit through the Site is not treated as confidential and does not create a duty of confidentiality, except as described in our Privacy Notice. You are responsible for ensuring that you have the right to share any information you submit.

Privacy

Our Privacy Notice explains how we collect, use, and protect information submitted through the Site. By using the Site, you acknowledge the Privacy Notice.

Intellectual Property

The Site and its content, including its text, graphics, design, and the LedgerArc name, wordmark, and logo, are owned by LedgerArc or its licensors and are protected by intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site for informational purposes. You may share links to the Site. You may not copy, modify, distribute, republish, or create derivative works from Site content, or use LedgerArc’s names or marks, without our prior written permission. All rights not expressly granted are reserved.

Acceptable Use

You agree not to:

• use the Site for any unlawful, fraudulent, or deceptive purpose;
• attempt to gain unauthorized access to the Site or its systems, or probe, scan, or test them for vulnerabilities without authorization;
• interfere with or disrupt the Site, including by introducing malicious code or placing an unreasonable load on it;
• use bots, scrapers, or other automated means to access the Site or submit forms;
• submit false, misleading, or bulk unsolicited messages; or
• impersonate any person or misrepresent your affiliation with any person or organization.

Disclaimer of Warranties

To the fullest extent permitted by law, the Site and all of its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, or error-free, or that its content is complete or current.

Limitation of Liability

To the fullest extent permitted by law, LedgerArc and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of, or inability to use, the Site, even if advised of the possibility of those damages.

Our total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US$100).

Indemnification

You agree to indemnify, defend, and hold harmless LedgerArc and its members, managers, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of your violation of these Terms, your misuse of the Site, or information you submit through it.

Governing Law and Venue

These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the State of Florida, without regard to its conflict-of-law rules.

Any such dispute must be brought exclusively in the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents LedgerArc from seeking injunctive relief in any court of competent jurisdiction to protect its intellectual property.

Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted, and the “Last updated” date at the top of this page shows when the Terms were last revised. Your continued use of the Site after changes are posted means you accept the updated Terms.

General Terms

If any provision of these Terms is found unenforceable, the remaining provisions stay in full effect, and the unenforceable provision will be enforced to the maximum extent permitted. Our failure to enforce any provision is not a waiver of it.

You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Notice, are the entire agreement between you and LedgerArc regarding the Site. Section headings are for convenience only.
